These Terms of Service govern your use of the Synq platform, the website located at https://synq.io and any related services provided by Synq Ltd.

By accessing using any Synq product or visiting https://synq.io, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by Synq Ltd. We, Synq Ltd, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Obligations of the customer

The customer must not interfere or intend to interfere in any manner with the functionality or proper working of any Synq product.

The customer will indemnify and hold harmless Synq Ltd, its officers and directors, employees and agents from any and all third party claims, damages, and costs (including reasonable attorney fees) arising out of the customer’s use of Synq Ltd in a manner not authorized by these Terms or in a manner that violate applicable law.

Intellectual Property

The intellectual property in the materials contained on Synq products are owned by or licensed to Synq Ltd and are protected by applicable copyright and trademark law.

Warranty

Synq Ltd warrants that, insofar as it is aware, the customer’s use of the Service and software therein in accordance with these Terms will not infringe the intellectual property rights of any third party.

The customer warrants that: (i) it will comply at all times with these Terms; (ii) it will not use the Service for any purpose that could, in Synq Ltd’s reasonable opinion, be considered obscene, blasphemous, defamatory, promote or incite terrorism or hatred based on religion, race or disability, or is illegal pursuant to all applicable laws and regulations (including copyright laws); and (iii) it will not introduce to the Service any virus, worm, Trojan horse, adware, spyware or any other form of malicious content, code or software or anything which may otherwise compromise Synq Ltd’s Service, properties or assets.

Liability

Any Synq product and the materials on our website are provided on an ‘as is’ basis. To the extent permitted by law, Synq Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Synq Ltd or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website and any related services provided by Synq Ltd or the materials on this website, even if Synq Ltd or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Data protection

Synq will process personal data in accordance with its Privacy Policy, available at /privacy-policy.

Right to Terminate

These Terms will remain in effect until terminated by Synq Ltd or the customer in accordance with this paragraph.

Synq Ltd or the customer may terminate these Terms for any or no reason at their convenience at any time. Termination may be issued in writing or by using the provided account closing mechanism, if provided by Synq Ltd. By terminating these Terms, the customer waives its right to further use of the Service and acknowledges that Synq Ltd will not be liable to refund any sums paid by the customer in respect of the remaining duration of the customer’s then-current subscription period.

No notice period is required for Synq Ltd or the customer to terminate these Terms. The Warranty, Limitation of Liability, Confidentiality, Governing Law and Jurisdiction, and Resolving Disputes paragraphs will survive termination.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales.
